1) Who we are

Nomiqon (“Nomiqon”, “we”, “us”, “our”) is an AI-powered Brand-as-a-Service platform under development in Germany. Postal locality: Düsseldorf, Germany. Legal queries: legal@nomiqon.com.

2) Acceptance of the Terms

By accessing or using our website or any related features (the “Service”), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service.

3) Changes to the Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent changes. Continued use after changes means acceptance.

4) The Service (Pre-launch)

The Service is currently in an under-construction / pre-launch phase. Features may be experimental, limited, or unavailable. We may modify, suspend, or discontinue any feature at any time.

5) Accounts & Eligibility

You must be at least 16 (or the legal age in your country) to use the Service.
You are responsible for safeguarding your account credentials and for all activities under your account.
You must provide accurate information and keep it up to date.

6) Acceptable Use

You agree not to, and not to allow others to:

Violate laws or rights of others; upload or generate unlawful, infringing, or harmful content.
Probe, scan, or test the vulnerability of the Service or attempt to circumvent security or access controls.
Reverse-engineer, decompile, or derive source code, except to the extent permitted by law.
Use the Service to train or improve competing models/services without our prior written consent.
Abuse rate limits, credits, or APIs; create automated or bulk accounts.

7) AI-Generated Content & Outputs

Ownership (outputs). Subject to your compliance with these Terms and applicable law, you own your lawful outputs you generate with the Service, as between you and Nomiqon.
No guarantees. AI outputs may be incorrect, non-unique, or similar to content generated for others. We do not guarantee novelty, distinctiveness, or fitness for any purpose (e.g., trademark registrability).
Your responsibility. You are solely responsible for reviewing, vetting, and using outputs (e.g., conducting trademark and IP clearance) before production or commercial use.
Training & improvement. We may use anonymized usage data and non-confidential prompts to improve the Service. Do not share confidential data in prompts unless you have legal rights and adequate safeguards.

8) Intellectual Property

Our IP. The Service, site design, code, logos, and brand elements are owned by Nomiqon or its licensors and are protected by IP laws.
Your IP. You retain rights in content you upload (e.g., brand names you submit). You grant us a limited, worldwide license to host, process, and display such content to provide the Service.
Feedback. If you provide suggestions, you grant Nomiqon a royalty-free, irrevocable license to use them without restriction.

9) Fees, Credits & Trials

During pre-launch, parts of the Service may be free or credit-based. Future paid plans may include monthly credits and premium downloads. Taxes may apply. We may change pricing or credit policies on notice. Unused credits may expire as stated in your plan.

10) Third-Party Services

The Service may integrate with third parties (e.g., payment processors, email providers). Your use of third-party services is governed by their terms and privacy policies.

11) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation or that outputs will meet your requirements.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Nomiqon AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. Our aggregate liability will not exceed the amounts you paid (if any) for the Service in the 3 months preceding the event.

13) Indemnification

You agree to defend, indemnify, and hold harmless Nomiqon from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms or applicable law.

14) Termination

We may suspend or terminate your access at any time (e.g., for policy violations). You may stop using the Service at any time. Sections that by nature should survive (e.g., IP, disclaimers, limitation of liability) will survive termination.

15) Governing Law & Venue

These Terms are governed by the laws of Germany, without regard to conflict of law rules. Courts located in Düsseldorf, Germany shall have exclusive jurisdiction, unless mandatory law grants you consumer rights to sue elsewhere.

16) Miscellaneous

If any provision is unenforceable, the remainder remains in effect.
These Terms are the entire agreement regarding the Service.
We may assign these Terms; you may not assign them without consent.
